Terms and Conditions for NTS

Effective Date: April 22, 2026

These Terms and Conditions ("Terms") govern the relationship between NTS ("Agency," "we," "us") and the client ("Client," "you") regarding the provision of web design, development, and related services.

1. Scope of Work

  • Proposal: The specific services to be provided will be outlined in a separate Proposal or Statement of Work (SOW).

  • Revisions: Unless otherwise stated, the project fee includes up to two (2) rounds of minor revisions. Significant changes to the project's direction or functionality after approval will be treated as a new request and billed at our standard hourly rate.

2. Fees and Payment

  • Deposit: A non-refundable deposit of 50% of the total project fee is required before work commences.

  • Milestones: Remaining payments will be tied to project milestones (e.g., Design Approval, Launch).

  • Late Fees: Payments not received within 14 days of the invoice date will incur a late fee of 5% per month on the outstanding balance.

  • Project Suspension: NTS reserves the right to pause work if payments are overdue.

3. Client Responsibilities

To ensure the project stays on schedule, the Client agrees to:

  • Provide all necessary content (copy, images, logos) in a timely manner.

  • Provide feedback on designs and prototypes within 3-5 business days.

  • Ensure all provided materials do not infringe on third-party intellectual property rights.

4. Intellectual Property

  • Ownership: Upon full and final payment, ownership of the final website design and code is transferred to the Client.

  • Pre-existing Material: NTS retains ownership of any proprietary tools, workflows, or code libraries used across multiple client projects.

  • Portfolio Rights: NTS retains the right to display the completed project in our portfolio and marketing materials unless a non-disclosure agreement (NDA) is signed.

5. Hosting and Maintenance

  • Third-Party Services: NTS is not responsible for downtime, data loss, or security breaches caused by third-party hosting providers.

  • Post-Launch Support: Unless a maintenance retainer is signed, any updates or fixes requested after the "Go-Live" date will be billed separately.

6. Term and Termination

  • Termination by Client: You may terminate the project at any time via written notice. However, NTS will retain the initial deposit and bill for any work completed up to the date of termination.

  • Termination by NTS: We reserve the right to terminate the agreement if the Client breaches these Terms or becomes unresponsive for more than 30 days.

7. Limitation of Liability

In no event shall NTS be liable for any indirect, incidental, or consequential damages (including loss of profits or data) arising out of the use of the website or our services. Our total liability is limited to the amount paid by the Client for the specific project in question.
